CONCERT ORCHESTRA CANADA — TERMS, CONDITIONS, AND POLICY


ACCEPTANCE OF TERMS

The services that Concert Orchestra Canada Inc. (Not-For-Profit) (thereafter "Concert Orchestra Canada"), provides to you are subject to the following Terms of Use ("TOU"). Concert Orchestra Canada reserves the right to update the TOU at any time without notice.
 

PERSONAL AND NON-COMMERCIAL USE LIMITATION

Unless otherwise specified, the services provided are for your personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, recordings, or materials obtained through the services without written permission.
 

PRIVACY AND PROTECTION OF PERSONAL INFORMATION

See our Privacy Policy for full disclosures relating to the collection, use, storage, and sharing of your personal information in accordance with applicable Canadian privacy laws.
 

SOFTWARE AND DIGITAL CONTENT

Any downloadable software or digital media made available by Concert Orchestra Canada is the copyrighted work of Concert Orchestra Canada and/or its partners. Use of such content is governed by applicable license agreements. Unauthorized duplication or distribution may result in legal action.
 

DOCUMENTS AND MATERIALS USE POLICY

Permission to use documents from our website or communications is granted only if:

  • The copyright notice appears on all copies.
  • Use is for informational, personal, and non-commercial purposes only.
  • The content is not modified in any way.
  • Any other use is prohibited and may result in legal consequences.

Design elements and layouts are protected by intellectual property law and may not be reproduced or used without express permission.
 

MEMBER ACCOUNTS, PASSWORDS, AND SECURITY

If you are granted access to a member account or registration portal, you are responsible for maintaining the confidentiality of your login credentials. You are liable for all activities that occur under your account and must notify Concert Orchestra Canada immediately of any unauthorized use. Unauthorized account access or misuse may result in account termination and legal action.
 

UNLAWFUL OR PROHIBITED USE

You may not:

  • Use Concert Orchestra Canada’s websites, services, or digital content for unlawful, harmful, or malicious purposes.
  • Attempt to hack, overload, or compromise our systems.
  • Share or copy protected materials or data without permission.

Violation of these terms will result in access termination and potential legal consequences.
 

USE OF WEBSITES AND DIGITAL SERVICES

You agree to use Concert Orchestra Canada’s online services respectfully and in good faith. You must not:

  • Upload harmful files or infringe on copyright or trademarks.
  • Harass, impersonate, or mislead other users.
  • Collect data from others without consent.
  • Post unlawful or inappropriate material.

Concert Orchestra Canada reserves the right to monitor, edit, or remove content and to terminate access at any time for violations.
 

MATERIALS SUBMITTED TO CONCERT ORCHESTRA CANADA

You retain ownership of materials you submit (e.g., feedback, creative suggestions), but by submitting, you grant Concert Orchestra Canada a royalty-free, non-exclusive license to use, distribute, and display such content for promotional or archival purposes. You represent that you own all rights or have necessary permissions.
 

LINKS TO THIRD-PARTY SITES

Links to external sites are provided for convenience only. Concert Orchestra Canada is not responsible for the content, updates, or transmissions of any linked sites and does not imply endorsement.
 

TRADEMARKS

Concert Orchestra Canada, and all associated names and materials, are protected trademarks. All other product or organization names mentioned may be the property of their respective owners.
 

NEGOTIABILITY AND OVERRIDING TERMS

All terms are subject to change or negotiation between parties, provided they do not conflict with applicable Canadian laws and regulations.
 

CONTRACT TERMS, CONDITIONS, AGREEMENT

AGREEMENT

This Agreement is between Concert Orchestra Canada (Ontario, Canada) and the CLIENT listed on the front side of this agreement. Unless otherwise agreed in writing, these terms govern participation and services.
 

COPY APPROVAL

Final approval of materials rests with the CLIENT. If Concert Orchestra Canada receives no correction notice, materials will proceed as approved. CLIENT is responsible for changes and additional costs after approval.
 

PAYMENT TERMS

Payments are to be made via cash, certified cheque, or company cheque. Returned cheques are subject to a $50 penalty.
 

BILLING

Special payment terms must be requested and approved in writing. CLIENT remains bound to all approved terms.
 

COSTS OF COLLECTION

In the event of non-payment or breach, the CLIENT is responsible for legal and collection costs, and may incur interest at 2% per month.
 

CANCELLATION POLICY

Written notice is required within 24 hours for cancellation. Cancellations post-approval are subject to a 30% fee. Full agreement fees may be charged after production begins.
 

LIABILITY

Concert Orchestra Canada’s liability is limited to the amount paid by the CLIENT. We are not responsible for delays or failures due to conditions beyond our control.
 

COPYRIGHT OWNERSHIP

Creative materials are considered “works made for hire” for the CLIENT, but Concert Orchestra Canada retains the right to copyright and protect its materials. CLIENT confirms it has the rights to all content submitted for production.
 

REPRESENTATION, WARRANTY, AND INDEMNIFICATION

CLIENT affirms that their use of our services complies with all laws. CLIENT agrees to indemnify Concert Orchestra Canada against legal claims, damages, or liabilities stemming from submitted content or product misuse.
 

CLIENT APPROVAL AND FINAL DELIVERY

CLIENT acknowledges receipt of satisfactory service. Any further changes or services beyond this date will be billed separately.

 

OWNERSHIP OF PRODUCTION MATERIALS

All production materials created, recorded, or commissioned by or in association with Concert Orchestra Canada, including but not limited to musical compositions, arrangements, vocal recordings, audio files, photographs, video footage, promotional content, digital media, and any derivative works, shall remain the sole property of Concert Orchestra Canada, unless otherwise agreed to in writing.

No such materials may be reproduced, distributed, published, or used for commercial purposes by any party without the prior written consent of Concert Orchestra Canada. This applies regardless of whether the materials feature individual performers, contributors, or third-party collaborators.

 

ENTIRE AGREEMENT
This document represents the entire agreement unless amended in writing and signed by both parties. No terms are binding until approved by an authorized representative of Concert Orchestra Canada.
